Clients agree to make payments according to the agreed-upon terms. If payment is not received on time, Larry Marketing reserves the right to pause or suspend services until payment is made in full. No late fees or interest charges apply; however, delayed payments may impact project timelines or service delivery.
5. Refunds and Cancellations
Refunds and cancellations are governed by our Refund & Cancellation Policy, which forms part of these Terms. By engaging our services, you acknowledge that you have reviewed and accepted that policy.
6. Project Fulfillment
Fulfillment of services is governed by our Fulfillment Policy, which outlines how projects are initiated, managed, and completed. A project is deemed fulfilled upon client approval of all deliverables.
7. Recurring Services
Certain services, such as monthly marketing retainers or subscriptions, may renew automatically or continue on a recurring basis as agreed in writing. Either party may terminate recurring services with proper written notice, as detailed in the relevant proposal or agreement.
8. Intellectual Property
All intellectual property rights in materials created by Larry Marketing (including but not limited to designs, websites, graphics, and written content) transfer to the client upon full payment of all project fees. Larry Marketing retains the right to display completed work in our portfolio, marketing materials, and case studies for promotional purposes, unless otherwise agreed in writing.
9. Results and Performance Disclaimer
While Larry Marketing provides professional expertise and best-effort services, we do not guarantee specific marketing outcomes, results, or performance metrics. You acknowledge that results may vary based on factors beyond our control, including market conditions, client participation, and third-party platform performance.
10. Limitation of Liability
To the fullest extent permitted by law, Larry Marketing shall not be liable for any indirect, incidental, consequential, or special damages, including loss of revenue, data, or profits, arising from the use of our Website or services. Our total liability for any claim related to our services shall not exceed the total amount paid by the client under the relevant agreement.
11. Termination and Suspension
Larry Marketing reserves the right to suspend or terminate any project or ongoing service at our discretion if a client:

Clients may terminate an engagement in accordance with our Refund & Cancellation Policy or as otherwise agreed in writing.
12. Force Majeure
Larry Marketing shall not be held liable for any delay or failure to perform due to circumstances beyond our reasonable control, including but not limited to natural disasters, power outages, internet disruptions, illness, or government actions.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta, Canada, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Alberta, Canada.
14. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
